1. PARTIES & COVERED ENTITIES
This Student & Subscriber Master Enrollment Agreement ("Agreement") is entered into by and between:

Together with all parent companies, subsidiaries, affiliates, related or associated entities, brands, successors, assigns, and all owners, shareholders, directors, officers, instructors, mentors, speakers, employees, agents, and contractors, collectively referred to as "IOTAF," "the Company," "we," "us," or "our."

Student / Subscriber
The enrolling individual ("Student," "Subscriber," "you").
By enrolling in any IOTAF program or subscribing to or accessing the AGORA app, website, community, or any communication channel used by IOTAF, you irrevocably agree to all terms of this Agreement.

2. EDUCATIONAL PURPOSE ONLY – NO ADVICE – NO ADVISORS
All services provided by IOTAF are strictly educational and informational.
Neither IOTAF nor any instructor, mentor, speaker, or staff member is:
A broker, dealer, investment adviser, portfolio manager, commodity trading advisor, or fiduciary Providing personalized investment or trading advice
All instructors act solely as educators.
No advisory, fiduciary, client, or professional relationship is created.

3. SIMULATION-ONLY EXPECTATION
Students are instructed to operate exclusively in simulated ("paper trading") environments.
Any real-money trading:
Is undertaken independently Is against IOTAF instruction Occurs solely at the Student's own risk
IOTAF does not supervise, approve, monitor, or control trading activity.

4. ASSUMPTION OF RISK
Student acknowledges that trading involves substantial and extreme risk, including total loss of capital.
Student voluntarily assumes 100% of all risks, known or unknown.

5. RELEASE & LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Student irrevocably releases IOTAF from all claims arising from:
Trade ideas or examples Educational content or instruction Market commentary Use of platforms, applications, or communications
This includes financial loss, lost profits, indirect or consequential damages, emotional distress, or reputational harm.
Nothing in this Agreement limits liability for intentional fault or gross negligence where prohibited by law.

6. OPINIONS & COMMENTARY
All opinions, trade ideas, alerts, charts, examples, and commentary:
Are educational only Represent personal views May change without notice Are not guarantees of accuracy or suitability

7. NO GUARANTEES
No guarantees or promises are made regarding profitability, performance, results, income, or success.

8. PROGRAM FORMAT & MODIFICATIONS
Programs may be delivered in person, online, live, recorded, or hybrid.
IOTAF may modify curriculum, instructors, schedules, platforms, tools, or delivery format at any time.
Such changes do not constitute breach and do not entitle Student to refunds.

9. PLATFORMS & COMMUNICATION CHANNELS
This Agreement applies to all platforms and communication channels used by IOTAF, including but not limited to:
AGORA (mobile & desktop) Websites and portals Slack, Telegram, Discord, WhatsApp Email, Zoom, podcasts, webcasts Live and recorded sessions Any future tools or platforms

10. QUALITY, TIMELINESS & THIRD-PARTY INFORMATION DISCLAIMER
Information provided through IOTAF, including the AGORA app, podcasts, webcasts, live or recorded sessions, and communications, may originate from third-party sources beyond IOTAF's control.
IOTAF does not verify or guarantee the accuracy, completeness, reliability, or timeliness of such information.
Information may be delayed, inaccurate, incomplete, interrupted, or outdated.
All information is provided strictly for educational purposes only and must not be used for trading or investment decisions.
Student agrees that any losses arising from reliance on such information are solely the Student's responsibility, and IOTAF bears no liability to the maximum extent permitted by law.

11. PAYMENT TERMS – FIXED TERM – NO CANCELLATION 11.1 Fixed-Term Program
Student enrolls in a fixed-term educational program (e.g., 12 months).
The total program fee is earned upon enrollment.
11.2 Installment Plans
Installments are a payment convenience only, not a subscription.
Early withdrawal, non-attendance, or dissatisfaction does not relieve payment obligations.
11.3 Default
Failure to pay may result in immediate loss of access, acceleration of remaining balances, and collection actions.

12. ACCESS & TERMINATION
Access is limited to active, paying Students or Subscribers.
Upon expiration, termination, or default, all access ceases immediately.

13. ACCOUNT SECURITY
Accounts are personal and non-transferable.
Sharing access results in immediate termination without refund and potential legal action.

14. INTELLECTUAL PROPERTY & CONFIDENTIALITY
All content and communications are proprietary and confidential.
Student may not copy, record, distribute, teach, or repurpose any content.

15. NON-SOLICITATION
Student shall not solicit IOTAF students, clients, or staff during enrollment and for 24 months thereafter.

16. NON-COMPETITION (LIMITED & REASONABLE)
Student shall not operate or assist a competing trading or investment education program during enrollment and for 24 months following termination.
This does not prohibit passive investing.

17. DISPUTE RESOLUTION & GOVERNING LAW Florida Entity
Disputes involving Institute of Trading and Finance LLC are governed by Florida law and resolved by binding arbitration in Miami-Dade County, Florida.
Québec Entities
Disputes involving Institute of Trading and Finance Inc. or Ocram Capital Inc. are governed by Québec law and resolved by binding arbitration in Montréal, where permitted, or otherwise exclusively before the courts of Montréal.

18. SEVERABILITY & SURVIVAL
Invalid provisions do not affect remaining clauses.
Payment obligations, liability waivers, IP, confidentiality, and restrictive covenants survive termination.

19. LANGUAGE (QUÉBEC)
The parties acknowledge having required that this Agreement be drafted in English.
A French version follows.
In case of discrepancy, the French version shall prevail for Québec matters.

2. BUT ÉDUCATIF – AUCUN CONSEIL
Tous les services offerts par IOTAF sont strictement éducatifs et informatifs.
Ni IOTAF ni ses instructeurs ne fournissent de conseils financiers, d'investissement ou de trading, et n'agissent à titre de conseillers ou fiduciaires.

3. SIMULATION UNIQUEMENT
L'Étudiant est tenu d'opérer en environnement simulé.
Toute opération réelle est effectuée à ses propres risques, sans supervision d'IOTAF.

4. ACCEPTATION DES RISQUES
L'Étudiant reconnaît que le trading comporte des risques financiers importants, incluant la perte totale du capital investi.

5. LIMITATION DE RESPONSABILITÉ
Dans la mesure permise par le Code civil du Québec, l'Étudiant libère IOTAF de toute responsabilité découlant de l'utilisation des services éducatifs.
Rien n'exclut la responsabilité en cas de faute intentionnelle ou lourde.

6. OPINIONS ET COMMENTAIRES
Toute opinion ou analyse est fournie à titre éducatif uniquement.

7. AUCUNE GARANTIE
Aucune garantie de rendement, de succès ou de résultat n'est offerte.

8. MODALITÉS DES PROGRAMMES
Les formats, contenus et horaires peuvent être modifiés sans préavis.

9. PLATEFORMES ET COMMUNICATIONS
Le présent Contrat s'applique à l'application AGORA, aux plateformes numériques, podcasts, webcasts, cours en direct ou enregistrés, et à tout moyen de communication utilisé par IOTAF.

10. QUALITÉ, EXACTITUDE ET DÉLAIS DE L'INFORMATION
Les informations diffusées peuvent provenir de sources tierces et ne sont pas vérifiées par IOTAF.
Ces informations peuvent être inexactes, incomplètes ou retardées.
Elles sont fournies à des fins éducatives uniquement et ne doivent pas être utilisées pour le trading.
Toute perte résultant de leur utilisation relève exclusivement de la responsabilité de l'Étudiant.

11. PAIEMENTS – AUCUNE ANNULATION
Les frais du programme sont dus en totalité dès l'inscription.
Les paiements échelonnés ne constituent pas un abonnement et ne sont pas annulables.

12. ACCÈS ET RÉSILIATION
L'accès est limité aux étudiants actifs et payants.

13. PROPRIÉTÉ INTELLECTUELLE
Tout le contenu est la propriété exclusive d'IOTAF.

14. NON-SOLLICITATION ET NON-CONCURRENCE
L'Étudiant s'engage à ne pas solliciter ou concurrencer IOTAF pendant le Contrat et durant 24 mois après sa fin, dans les limites permises par la loi.

15. DROIT APPLICABLE ET JURIDICTION
Le présent Contrat est régi par les lois du Québec.
Les différends seront soumis à l'arbitrage à Montréal lorsque permis, ou autrement aux tribunaux de Montréal.

16. LANGUE
Les parties reconnaissent avoir exigé que le présent Contrat soit rédigé en langue anglaise.
La présente version française prévaut en cas de divergence.
